These Terms of Service ("Terms") govern your use of Build Procedures (the "Service"), operated by C Dunn Consulting, a business registered in Singapore at 60 Paya Lebar Road, #06-28 Paya Lebar Square, Singapore 409051 ("we", "us", or "our").

By accessing or using https://buildprocedures.com, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

DESCRIPTION OF SERVICE

Build Procedures is a tool for businesses to document their standard operating procedures and distribute them to staff.

USER ACCOUNTS

To use the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and current
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

• Payment information

ACCEPTABLE USE

You agree not to:

INTELLECTUAL PROPERTY

User Content Ownership (Background IP)

You retain all ownership rights to content you upload or input into the Service ("User Content"), including but not limited to logos, text, images, and proprietary information.

By uploading User Content, you grant us a limited, non-exclusive, royalty-free license to:

• Store, process, and display your content
• Use it to provide and improve the Service
• Create backups for service reliability

This license terminates when you delete the content or close your account, except for reasonable backup retention periods.

You represent and warrant that:

• You own or have rights to all User Content you upload
• Your User Content does not infringe third-party intellectual property rights
• You have authority to grant us these rights

Ownership of Generated Content (Foreground IP)

You own the substantive content of all standard operating procedures, documents, and materials you create using the Service ("Generated Content"), subject to the following:

Branding and Attribution:

Generated Content may include:

• BuildProcesses.com branding, logos, or watermarks
• "Powered by BuildProcesses.com" or similar attribution
• Platform-generated formatting and design elements

Content Viewed/Used Within Platform:

• May display our branding and interface elements
• Subject to these Terms while using the Service

Exported Content:

• You may add your own branding to exported files
• You may use exported content without restriction
• You may use content for commercial purposes

You may not:

• Use our branding on non-platform generated content
• Imply our endorsement of your work

Trademark Rights

Our company name, logos, and branding (including "BuildProcesses.com" and "Build Procedures") remain our exclusive property. You receive a limited license to display our marks only as embedded in Generated Content created through the Service. This license is non-transferable and revocable. You may not use our marks to suggest endorsement or partnership, and you may not register similar marks or domain names.

Platform Intellectual Property

The Service itself, including but not limited to software, features, templates, algorithms, design elements, text, graphics, logos, and functionality, are owned by C Dunn Consulting and are protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or reverse engineer the Service
• Create derivative works based on our platform
• Remove proprietary notices or branding from the Service itself
• Use our trademarks without permission

Templates we provide are licensed for use within the Service but may not be extracted for use in competing products.

AI-Assisted Content

If the Service uses AI to help generate or suggest content, you are responsible for reviewing AI-generated outputs for accuracy and compliance. You acknowledge that AI may produce similar outputs for other users.

Third-Party Content

If you incorporate third-party materials (such as stock photos, licensed content, or other copyrighted works) into your standard operating procedures:

• You are responsible for obtaining all necessary licenses and permissions
• You agree to indemnify us against any intellectual property infringement claims arising from your use of third-party content
• We are not liable for your unauthorized use of third-party content

Account Transfer or Sale

If you sell your business or transfer account ownership:

• Content rights transfer with account ownership
• You must notify us of ownership changes
• The new owner must agree to these Terms

PAYMENT TERMS

Certain features of the Service may require payment. By providing payment information, you:

• Authorize us to charge the applicable fees to your payment method
• Agree to pay all fees and charges incurred
• Acknowledge that fees are non-refundable unless otherwise required by law

CANCELLATION AND REFUNDS

Cancellation

You may cancel your subscription at any time by contacting us at support@buildprocedures.com. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of your paid period.

Refunds

Due to the nature of the Service and your immediate access to templates, content, and features upon subscription, we do not offer refunds except where required by law. All fees are non-refundable unless otherwise required by applicable consumer protection laws.

Content and Data Upon Cancellation

Upon cancellation of your subscription:

• You retain ownership of all content you created
• You may continue using previously exported content according to these Terms
• We may retain your account data according to our data retention policies and applicable law
• We are not obligated to delete your data except where we choose to do so or are required by law

TERMINATION

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, for any reason including violation of these Terms.

You may terminate your account at any time by contacting us at support@buildprocedures.com.

DISCLAIMER OF WARRANTIES

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, C Dunn Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service.

GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

CHANGES TO TERMS

We reserve the right to modify these Terms at any time. Updated terms will be published on the website at https://buildprocedures.com. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
